Terms of Service

By accessing or using the Arctik platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you and Arctik ("we," "us," or "our"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

Arctik is a HubSpot portal audit platform that analyzes your connected HubSpot account to identify configuration issues, provide health scores, and offer AI-powered recommendations. The Service includes:

• Automated portal audits across multiple HubSpot Hubs
• Health scoring and grading
• AI-powered recommendations and an AI Copilot assistant
• Step-by-step Fix Kits for resolving issues
• Workflow template deployment
• PDF audit reports

To use the Service, you must create an account by providing a valid email address and password. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use of your account

You must be at least 16 years old to create an account. You must provide accurate and complete information during registration.

The Service requires you to connect your HubSpot portal via OAuth. By connecting your portal, you:

• Authorize Arctik to access your HubSpot portal data using read-only permissions for the purpose of running audits
• Represent that you have authority to connect the portal and grant this access
• Understand that workflow template deployment requires write access and will create workflows in a disabled state for your review

You can disconnect your portal at any time from the Settings page. Disconnecting revokes Arctik's access to your HubSpot data. Arctik is not affiliated with HubSpot, Inc.

The Service is offered in multiple tiers:

• Free — Limited access including 1 audit per month, 25 AI Copilot messages, and 15 Fix Kit views
• Pro — Unlimited access to all features for individual users
• Agency — Multi-portal management and white-label features for agencies

Paid plans are billed on a monthly or annual basis. Prices are listed on our pricing page and may be updated with 30 days' notice. All fees are non-refundable except where required by law.

You agree not to:

• Use the Service in violation of any applicable law or regulation
• Attempt to gain unauthorized access to other users' accounts or data
• Reverse engineer, decompile, or disassemble any part of the Service
• Use automated scripts to access the Service beyond normal API usage
• Interfere with or disrupt the Service or its infrastructure
• Use the AI Copilot to generate content that is harmful, misleading, or violates third-party rights
• Share your account credentials with others
• Resell access to the Service without an Agency plan

The Service, including its design, code, AI models, Fix Kit content, and documentation, is owned by Arctik and protected by intellectual property laws. Your use of the Service does not grant you any ownership rights.

You retain ownership of your HubSpot data. Audit results, AI recommendations, and reports generated by the Service based on your data are licensed to you for your internal business use.

The Service uses artificial intelligence to generate recommendations, insights, and conversational responses. AI-generated content is provided "as-is" and may contain errors or inaccuracies. You are responsible for reviewing and validating AI recommendations before implementing changes to your HubSpot portal.

Arctik does not guarantee the accuracy, completeness, or suitability of AI-generated content for your specific business needs.

Workflow templates are provided as examples only and are intended as starting points for your own workflows. When you deploy a workflow template to your HubSpot portal, it is created in a disabled state. You are solely responsible for:

• Reviewing every workflow template before enabling it
• Testing workflows in a sandbox or staging environment where possible
• Ensuring each workflow is appropriate for your specific business processes, data, and compliance requirements
• Any consequences of enabling a workflow in your HubSpot portal

Arctik is not liable for any consequences resulting from workflows you enable in your HubSpot portal, including but not limited to unintended automated actions, data changes, communications sent to your contacts, or business process disruptions.

To the maximum extent permitted by law, Arctik shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

• Your use of or inability to use the Service
• Any changes made to your HubSpot portal based on audit recommendations
• Unauthorized access to or alteration of your data
• AI-generated content or recommendations
• Any third-party conduct or content on the Service

Our total liability for any claim arising from these Terms or your use of the Service is limited to the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or that defects will be corrected. Audit scores and recommendations reflect automated analysis and should not be considered professional consulting advice.

You may terminate your account at any time by deleting it from the Settings page. We may suspend or terminate your account if you violate these Terms, with or without notice.

Upon termination, your right to use the Service immediately ceases. We will delete your data in accordance with our Privacy Policy.

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms with a revised "Last updated" date. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

You agree to indemnify, defend, and hold harmless Arctik, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or in any way connected with:

• Your use of the Service or any actions taken based on audit results, AI recommendations, or deployed workflows
• Your violation of these Terms or any applicable law
• Your violation of the Acceptable Use policy
• Any claim by a third party resulting from your use of the Service, including claims related to HubSpot data you process through the platform

Arctik shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, pandemics, acts of government, internet or infrastructure outages, failures of third-party services (such as HubSpot, Supabase, Vercel, or Anthropic), cyberattacks, or labor disputes.

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be resolved exclusively in the state or federal courts located in Wilmington, Delaware, and you consent to the personal jurisdiction of such courts.

Severability. If any provision of these Terms is held to be unenforceable or invalid, that provision will be enforced to the maximum extent permissible, and the remaining provisions will continue in full force and effect.

Assignment. You may not assign or transfer these Terms, or any rights or obligations hereunder, without our prior written consent. Arctik may assign these Terms in connection with a merger, acquisition, reorganization, or sale of all or substantially all of its assets without your consent.

Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Arctik regarding the Service, and supersede all prior agreements and understandings.

Waiver. No failure or delay by Arctik in exercising any right under these Terms shall constitute a waiver of that right.
